NDA Review is a workflow to review and analyze Non-Disclosure Agreements (NDAs) to extract parties, key terms, and obligations so legal, procurement, and operations teams can assess risk quickly and consistently. It supports first-pass NDA review — party identification, term extraction, obligation summary, and key clause validation — in one streamlined workflow. What you get: a structured table of extracted NDA fields you can review, edit, and export.When to use NDA Review
Use this workflow when you need a consistent first-pass review of NDAs, including:- Identifying disclosing vs receiving parties
- Confirming when the NDA becomes effective
- Understanding what counts as “Confidential Information”
- Capturing permitted disclosures and legal exceptions
- Confirming the term/duration and survival of obligations
- Confirming return/destruction of information requirements
- Confirming governing law and dispute venue (if stated)
- Flagging non-solicitation obligations (if present)
Step-by-step usage

Open the workflow
Navigate to Workflows > Template gallery and select NDA Review.

Upload documents
Upload the NDA documents (PDF only).

Upload related documents (optional)
Upload related documents (e.g., addendums, amendments, SOW/MSA references) if they affect confidentiality obligations.

Run extraction
Click Run to begin extraction.

Review extracted fields
Review extracted fields and edit anything that is incorrect.

Export
Export results (CSV or Excel) for reporting or downstream processing.

What’s specific to NDA Review
- Parties must be mapped correctly. Make sure the Disclosing Party and Receiving Party are correctly identified (some NDAs are mutual; in that case, capture both parties and note “Mutual” in remarks if you add a remarks field).
- Definitions drive scope. The “Confidential Information” definition and permitted disclosures determine what is protected and what is excluded.
- Duration and return obligations are key obligations. Confirm the NDA term and how long confidentiality obligations survive, and whether return/destruction is required at termination or upon request.

Customising NDA Review columns
You can tailor columns to match your legal review checklist.- Add columns for mutual vs one-way NDA, confidentiality marking requirements, residuals, injunctive relief, assignment, notice addresses, and remedies.
- Rename columns to be explicit (for example, “Term (months/years)” or “Survival period (months/years)”).
- Keep column names clear and unambiguous to improve extraction quality.
Important notes
- Always validate parties and effective date against the signature blocks and defined terms section.
- If a field is consistently wrong, simplify the column name or add a short instruction to the column prompt.
- NDAs vary widely; capture exact clause language when ambiguity matters.
